1. Agreement & Acceptance

These Terms of Service ("Terms") constitute a legal agreement between you (the "User" or "Customer") and AI Beacon Studio ("Company," "We," "Us," or "Our"), providing AI automation services through www.aibeaconstudio.com and related platforms (collectively, the "Services").

By accessing, browsing, or using our website, Services, or submitting payment information, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Users must be at least 18 years old and have the legal capacity to enter into binding agreements.

2. Service Description

2.1 Services Provided
AI Beacon Studio provides B2B software-as-a-service (SaaS) and professional services for local service businesses, including:

- AI Inbound Voice Agent: Automated receptionist service that answers calls, qualifies leads, and books appointments
- AI Outbound Voice Agent: Automated follow-up calls to leads and prospects
- AI Chat Widget: Website-based lead capture and booking automation
- Workflow Automation: CRM integration, workflow triggers, and process automation
- Database Reactivation: Automated campaigns to re-engage cold leads
- Appointment Booking System: Self-service scheduling integrated with calendars
- AI Meta Ads: Automated ad campaign creation and optimization
- WhatsApp Automation: Automated messaging and customer engagement
- Website & Funnel Building: High-converting landing pages and sales funnels
- Technical Onboarding & Setup: Configuration, integration, and optimization of AI systems
- Ongoing Support & Optimization: Monitoring, A/B testing, and performance improvement

2.2 Service Availability
We aim to provide Services 24/7/365. However, we do not guarantee uninterrupted service and are not liable for downtime, service interruptions, or data loss resulting from scheduled or emergency maintenance, third-party service failures, internet connectivity issues, natural disasters, or force majeure events.

3. User Responsibilities & Acceptable Use

3.1 Account Responsibility
You are solely responsible for the accuracy of all information provided during account registration, maintaining the confidentiality of your account credentials, authorizing all activities conducted under your account, notifying us immediately of any unauthorized access, and complying with applicable laws and regulations in your jurisdiction.

3.2 Acceptable Use Policy
You agree NOT to use our Services for any illegal purpose or in violation of any law, engage in fraud, money laundering, or financial crime, violate intellectual property rights, reverse-engineer, decompile, or attempt to access our source code, hack, attack, or interfere with our systems, create bots that bypass our security measures, or spam or send unsolicited communications at scale.

Prohibited Use Cases:
- Gambling, betting, or gaming platforms
- Adult content or sexual services
- Cryptocurrency or blockchain-related financial services
- High-risk financial services (forex trading, binary options)
- Weapons sales or violent content
- Hate speech, discrimination, or extremism
- Pharmaceuticals without proper licensing
- Misinformation or deliberate false claims
- Harassment or cyberstalking

3.3 Your Content
Any content you upload, create, or provide through our Services must be original or properly licensed, must not violate third-party rights, must comply with all applicable laws, and remains your property, but you grant us license to use it for service delivery.

3.4 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, forfeiture of any prepaid fees, legal action and damages claims, and reporting to relevant authorities.

4. Payment Terms & Billing

4.1 Pricing & Fees
Pricing is displayed in USD or your local currency as applicable. All fees are exclusive of applicable taxes, VAT, GST, and similar levies unless stated otherwise. You are responsible for any taxes, duties, or fees resulting from your purchase.

4.2 Payment Methods
We accept payment through credit/debit cards (Visa, Mastercard, American Express), bank transfers and ACH payments, digital wallets, and other payment methods as displayed on our checkout.

4.3 Billing Cycle
Monthly Plans are billed on the same date each month. Annual Plans are billed once per year. Setup Fees are one-time charges for onboarding and configuration. Custom Quotes are available for enterprise customers.

4.4 Automatic Renewal
Monthly and annual subscriptions automatically renew unless you cancel before the renewal date. You will receive reminder emails before renewal. Renewal charges will be applied to your payment method on file.

4.5 Failed Payments
If a payment fails, we will notify you via email. You have 5 business days to update your payment method. If payment is not received within this period, we may suspend your account.

4.6 Refund Policy

Non-Refundable Items:
- Setup fees, onboarding fees, and configuration services
- Custom development or consulting hours
- Advertising spend or third-party platform costs

Refundable Items:
- Monthly subscription fees: Refundable if requested within 14 days of payment, if Services have not been used
- Annual subscription fees: Refundable within 30 days of payment, less any setup fees incurred

Refund Conditions:
- Refunds are processed within 10-15 business days
- Refunds are issued to the original payment method
- Refunds are not available if you breached our Acceptable Use Policy

4.7 Modifications to Pricing
We may modify pricing with 30 days written notice. Price increases take effect at your next billing date. You may cancel before the price increase takes effect.

5. No Long-Term Lock-In Contracts

5.1 Month-to-Month Flexibility
All monthly subscriptions can be canceled at any time without penalty. No long-term contracts are required. Cancellation takes effect at the end of your current billing cycle.

5.2 Annual Plan Cancellation
Annual plans include the option to cancel with 30 days notice. If canceled mid-year, you forfeit the remaining prepaid balance.

5.3 How to Cancel
To cancel your subscription, email [email protected] with your cancellation request. Cancellation is effective at the end of your current billing period.

5.4 Data After Cancellation
Your data remains accessible for 30 days after cancellation. You can export your data during this 30-day window. After 30 days, all data is permanently deleted.

6. Limitation of Liability & Disclaimers

6.1 Disclaimer of Warranties
Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We specifically disclaim merchantability or fitness for a particular purpose, non-infringement of third-party rights, accuracy, completeness, or reliability of information, and uninterrupted or error-free operation.

6.2 Performance Disclaimers
We do not guarantee specific revenue increases or financial results, lead quality or conversion rates, call answer rates or appointment bookings, AI agent accuracy or human-like performance, or compatibility with all third-party CRM or business systems.

6.3 Limitation of Damages
To the maximum extent permitted by law, in no event shall AI Beacon Studio be liable for lost profits, revenue, or earnings, lost data, business opportunities, or anticipated savings, or indirect, incidental, consequential, special, or punitive damages. Our total liability for any claim shall not exceed the total fees you paid to us in the 12 months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless AI Beacon Studio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of our Services in violation of these Terms, your violation of any applicable law or regulation, your infringement of third-party intellectual property or privacy rights, or any content you provide or upload to our Services.

8. Intellectual Property Rights

8.1 Our IP
All content, code, designs, and functionality of our platform are owned by AI Beacon Studio. You are granted a limited, non-exclusive, non-transferable license to use our Services.

8.2 Your IP
You retain ownership of your original content, leads, and business data. You grant AI Beacon Studio a license to use your content solely for delivering Services.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared during our relationship, use confidential information solely for the purpose of performing Services, and not disclose confidential information to third parties without written consent.

10. Termination & Suspension

10.1 Termination by User
You may terminate your account at any time by canceling your subscription in the dashboard or by requesting cancellation via email to [email protected].

10.2 Termination by AI Beacon Studio
We may terminate or suspend your account immediately, without notice, if you violate our Acceptable Use Policy, engage in illegal activity or fraud, fail to pay fees after 30 days of notice, or your use poses a security or legal risk to our platform.

10.3 Effects of Termination
Upon termination, your access to all Services is immediately revoked, your data remains accessible for 30 days for export purposes, all prepaid fees are forfeited, and any outstanding balances remain due and payable.

11. AI Technology & Limitations

11.1 AI Accuracy
AI agents are trained models that may occasionally make errors. We do not guarantee 100% accuracy in call handling or lead qualification.

11.2 AI Compliance
You are responsible for ensuring your AI agent complies with Do Not Call (DNC) regulations, telemarketing regulations, call recording consent laws, and any other applicable laws in your jurisdiction.

11.3 AI Limitations
AI agents cannot handle all scenarios and complex issues require human intervention. Conversation quality depends on script quality and training data. Response times may vary based on network conditions.

12. Dispute Resolution & Governing Law

12.1 Informal Resolution
Before pursuing formal legal action, both parties agree to attempt good-faith resolution. The disputing party will provide written notice and both parties will meet within 15 days.

12.2 Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. However, local mandatory laws in your jurisdiction may apply.

13. Modifications to Terms

We may update these Terms at any time. Material changes will be posted on our website with an updated "Last Updated" date and communicated via email. Your continued use of our Services after updates constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary. All other provisions remain in full effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Beacon Studio regarding your use of our Services.
